Victory Capital to Acquire Munder Capital

On April 16, 2014, Victory Capital Management announced that it will acquire Munder Capital Management.

On April 16, 2014, Victory Capital Management Inc. announced that its parent company, Victory Capital Holdings, Inc., had entered into an agreement to acquire Munder Capital Management, including its wholly-owned subsidiary Integrity Asset Management, LLC. The all-cash purchase will result in a combined investment management firm with over $37 billion of assets under management. Senior executives and personnel from Victory, Munder and Integrity will be significant investors in the new entity, with additional equity financing coming from funds managed by Crestview Partners and Reverence Capital Partners. The transaction, which is subject to customary closing conditions and consents, is expected to close by the end of the third quarter of 2014. Financial terms of the deal were not disclosed. Sandler O’Neill & Partners rendered a fairness opinion to the Board of Munder in connection with the transaction.
