On September 13, 2021, PATRIZIA AG announced that it will acquire Whitehelm Capital.
Under the terms of the transaction, PATRIZIA AG (“PATRIZIA”) has entered into a share purchase agreement for a transformational acquisition of Whitehelm Capital (“Whitehelm”). The initial purchase price is €67 million in cash and PATRIZIA treasury shares, subject to adjustment based on an earn-out structure which will also be paid in a combination of cash and PATRIZIA shares. Whitehelm shareholders have agreed to a lock-up period for the PATRIZIA consideration shares. The transaction is expected to close in the first quarter of 2022, subject to regulatory approvals. Further terms of the deal were not disclosed.
PATRIZIA, based in Augsburg, Germany, is a global real asset investment manager. As of June 30, 2021, NGI had approximately AU$20.9 billion in assets under management.
Whitehelm, based in London and Sydney, is an independent infrastructure manager. Whitehelm has approximately €6.9 bullion in invested assets and €3.2 billion in assets under management. Berkshire Global Advisors served as financial advisor to Whitehelm on the transaction.
