NorthStar and Colony Capital to Merge

On June 3, 2016, NorthStar Asset Management Group Inc., Colony Capital, Inc., and NorthStar Realty Finance announced that they have entered into a definitive merger agreement.


The merger between NorthStar Asset Management Group Inc. (“NSAM”), Colony Capital, Inc. (“Colony”), and NorthStar Realty Finance Corp. (“NRF”) will integrate an all-stock merger of equals transactions to form the real estate and investment management company, “Colony NorthStar, Inc.”  The first step of the transaction will involve NSAM domesticating into a Maryland REIT. NRF and Colony will then merge into NSAM to form the new entity.  Colony NorthStar will be a diversified equity REIT with $58 billion of assets under management. 

NSAM is a global asset management firm, managing real estate and other investments both in the United States and internationally.  As of March 31, 2016, NSAM had $23 billion of assets under management.

Colony is a global real estate and investment management firm.  Colony invests primarily in real estate equity, real estate debt, and investment management of private equity funds and vehicles. 

NRF is a commercial real estate company and is managed by NSAM.  NRF makes real estate-related investments for its stockholders involving acquiring commercial real estate properties and investments in real estate through private equity real estate funds.
