On November 18, 2020, Seward & Kissel client Kudu Investment Management, LLC announced that it had entered an agreement to fund the acquisition of a controlling interest of Ranger Investment Management, L.P. by its management team.
Under the terms of the agreement, the management team of Ranger Investment Management, L.P. (“Ranger”) will acquire a controlling interest in the firm from Ranger Capital Group. Kudu Investment Management, LLC (“Kudu”) will be issued a passive minority stake in Ranger. The transaction is subject to customary approvals. Upon completion of the transaction, Ranger will be led and controlled by its management team. Terms of the deal were not disclosed. A Seward & Kissel team led by partners Meir Grossman and Jon Brose, counsel Julia Spivack, Michael O’Brien and Christopher Carlson, and associates Danielle Lemberg, Jaime Ma, Melissa Matchett, Brett Cotler, Steven Starr, Jay Baroody, Michael Stachiw, Sean Flynn and Katherine Porter represented Kudu in connection with the transaction.
Ranger is a Dallas-based boutique SEC-registered investment manager that specializes in small and micro-cap U.S. growth strategies. It has approximately $1.6 billion in discretionary and $400 million in non-discretionary assets.
Kudu, based in New York, is a registered investment advisor that specializes in minority equity investments in asset management firms, wealth management firms, and pooled investment vehicles in the United States, United Kingdom, and Canada. Kudu’s partners include B|O|S, TIG Advisors, Versus Capital and Fair Oaks Capital.
